These Terms of Service (“Terms”) govern your access to and use of the website, content, products, communications, and services (collectively, the “Services”) operated by C311 LLC, a Pennsylvania limited liability company, doing business as “The Spec Investor” (“we,” “us,” “our”). The Services include, without limitation, the website at thespecinvestor.com, our email newsletters and broadcasts, our SMS communications, our podcast and video content, our social media properties, and any current or future paid products, courses, communities, or memberships we offer.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Educational Content Only — Not Professional Advice

The Services exist to educate and inform. Nothing we publish, post, send, or communicate constitutes individualized financial, legal, tax, accounting, real estate, investment, or professional advice of any kind. We are not your financial advisor, attorney, accountant, broker, or fiduciary. Our content reflects general information, opinions, observations, examples, and personal experiences relating to real estate strategy and spec building.

You are solely responsible for your own decisions, investments, and outcomes. Before acting on anything you read, hear, or receive from us, you should consult with qualified, licensed professionals (attorneys, accountants, financial advisors, real estate professionals, contractors, and engineers) appropriate to your specific situation and jurisdiction.

Real estate investing involves substantial risk, including the potential loss of your entire investment. Past results, examples, case studies, and stories shared by us or others do not guarantee future outcomes.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use the Services. By using the Services, you represent that you meet these requirements.

3. Accounts and Communications

Email Subscriptions

When you provide your email address, you consent to receive emails from us, including but not limited to newsletters, content updates, educational material, product announcements, and promotional communications. You may unsubscribe from marketing emails at any time using the unsubscribe link in any email. Transactional emails (order confirmations, account notices, legal notices) may continue after unsubscribe.

SMS Subscriptions

When you opt in to receive SMS messages from us, you agree to receive automated text messages, including marketing messages, educational content, alerts, and transactional notifications, sent to the phone number you provided. Message and data rates may apply. Message frequency varies. Reply STOP to unsubscribe at any time. Reply HELP for help. By opting in, you confirm the phone number you provided is your own or that you have authorization to receive messages at that number. We use industry-standard A2P 10DLC carrier registration for SMS delivery.

Paid Products and Memberships

If we offer paid products, courses, communities, or memberships (collectively, “Paid Products”), separate purchase terms may apply at the time of purchase, including refund policies, access terms, content licenses, and payment schedules. Those purchase-specific terms are incorporated into these Terms by reference upon your purchase.

4. Intellectual Property

All content on the Services — including text, articles, newsletters, videos, audio, images, graphics, code, designs, logos, names, trademarks, and methodologies — is owned by C311 LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may:

  • View and read our content for your personal, non-commercial use.
  • Share our publicly-posted content via standard social media sharing or by linking to our website.
  • Quote brief excerpts with proper attribution.

You may not:

  • Reproduce, republish, redistribute, or repurpose our content (in whole or substantial part) without written permission.
  • Use our content to train artificial intelligence or machine learning models without express written permission.
  • Sell, license, or commercialize our content.
  • Strip attribution, alter, or misrepresent our content.
  • Use our trademarks, brand names, or logos without written permission.

5. User Submissions and Communications

If you submit any feedback, questions, comments, testimonials, ideas, or other content to us through any channel (email, SMS, social media, comment sections, surveys, etc.), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that content in connection with the Services. We may use your submission as a testimonial, in marketing material, or as content for our publications, with reasonable anonymization where appropriate.

You represent that any content you submit is your own, does not violate any third-party rights, and is not unlawful, defamatory, or harmful.

6. Prohibited Conduct

You agree not to:

  • Use the Services in any way that violates applicable law.
  • Impersonate any person or misrepresent your affiliation with any person or entity.
  • Attempt to access, tamper with, or use non-public areas of the Services, our systems, or our technical delivery infrastructure.
  • Scrape, harvest, or systematically extract content or data from the Services without our express written permission.
  • Use the Services to send spam, harassment, or malicious content.
  • Interfere with or disrupt the Services or the servers and networks connected to them.
  • Reverse engineer, decompile, or attempt to extract the source code of any of our software.

7. Third-Party Links and Services

The Services may contain links to third-party websites, products, or services. We do not endorse and are not responsible for the content, accuracy, opinions, practices, products, or services of those third parties. Your interactions with third parties are solely between you and the third party.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, timeliness, uninterrupted service, or that the Services will be error-free or free of viruses or harmful components.

We do not warrant that any content, advice, opinion, methodology, or example shared through the Services will produce any particular result for you, your business, your real estate investments, or your finances.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will C311 LLC, its members, managers, employees, contractors, agents, partners, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or in connection with your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless C311 LLC and its members, managers, employees, contractors, agents, partners, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit, post, or communicate through the Services.

11. Termination

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, with or without notice. You may stop using the Services at any time. Provisions of these Terms that by their nature should survive termination will survive (including but not limited to intellectual property, disclaimers, limitations of liability, indemnification, and governing law).

12. Modifications to the Services and Terms

We may modify, suspend, or discontinue the Services or any feature at any time, with or without notice. We may modify these Terms at any time. Material changes will be communicated by updating the “Last updated” date at the top of these Terms and, where appropriate, by additional notice (such as an email to subscribers). Your continued use of the Services after the effective date of any update constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Butler County, Pennsylvania, or Allegheny County, Pennsylvania, and you consent to the personal jurisdiction of those courts.

You and we agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any purchase-specific terms for Paid Products, constitute the entire agreement between you and C311 LLC concerning the Services, and supersede any prior agreements between you and us regarding the Services.
